Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and The Vertibase, doing business as The Vertibase (“The Vertibase,” “Vertibase,” “we,” “us,” or “our”). These Terms govern your access to and use of thevertibase.com and any other website, application, feature, tool, database, content, product, or service that links to or incorporates these Terms (collectively, the “Service”).

PLEASE READ THESE TERMS CAREFULLY. THEY AFFECT YOUR LEGAL RIGHTS. BY ACCESSING OR USING THE SERVICE, CREATING AN ACCOUNT, CLICKING TO ACCEPT THESE TERMS, OR SUBMITTING ANY CONTRIBUTION, YOU AGREE TO BE BOUND BY THESE TERMS AND THE POLICIES INCORPORATED INTO THEM. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.

1. Agreement and Acceptance

1.1 Binding Agreement. These Terms apply to all visitors, registered users, contributors, verified representatives, moderators, advertisers, and other persons who access or use the Service. If you use the Service on behalf of a company, studio, production, agency, guild, employer, or other organization, you represent that you have authority to bind that organization, and “you” includes both you and that organization.

1.2 Additional Policies. The Privacy Policy, Community Contribution and Copyright Policy, DMCA and Rights-Complaint Policy, and any feature-specific rules or guidelines that we publish are incorporated into these Terms by reference. If feature-specific terms conflict with these Terms, the feature-specific terms control for that feature.

1.3 Changes in Capacity. If you begin using the Service in an individual capacity and later use it for a business or professional purpose, these Terms continue to apply. Separate commercial, advertising, data-license, API, or promotional agreements may also apply.

1.4 No Professional Advice. Information available through the Service is provided for entertainment, informational, and discovery purposes. It is not legal, financial, employment, casting, union, tax, medical, or other professional advice.

2. Eligibility

2.1 Minimum Age. You must be at least 16 years old to use the Service. If the law where you live requires a higher minimum age for us to provide the Service to you without parental consent, you must meet that higher age requirement.

2.2 Minors. If you are under the age of majority where you live, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We may require age verification, parental consent, or additional restrictions for particular features.

2.3 Authority and Legal Capacity. You may not use the Service if you lack legal capacity to enter into these Terms, if your use is prohibited by applicable law, or if we previously suspended or terminated your account and have not authorized its restoration.

2.4 Sanctions and Export Restrictions. You represent that you are not located in, ordinarily resident in, or organized under the laws of a country or territory subject to comprehensive U.S. sanctions, and that you are not listed on a U.S. government restricted-party list, except to the extent applicable law prohibits this restriction.

3. Privacy and Electronic Communications

3.1 Privacy Policy. Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. By using the Service, you acknowledge the practices described in that policy.

3.2 Electronic Communications. You consent to receive agreements, notices, disclosures, account messages, moderation notices, and other communications electronically, including by email, through your account, or by posting them through the Service. Electronic communications satisfy any legal requirement that a communication be in writing, to the extent permitted by law.

3.3 Service Messages. You may not be able to opt out of transactional, security, legal, or account-administration communications while maintaining an account. Marketing communications will include available unsubscribe methods where required.

4. The Service

4.1 Platform Description. Vertibase is a discovery and information platform focused on microdramas, vertical series, actors, creators, production companies, platforms, and related entertainment content. The Service may allow users to search and browse titles and people; create profiles, ratings, reviews, lists, and watchlists; follow people or titles; submit corrections and new information; upload or suggest images; and participate in community moderation or contributor programs.

4.2 Collaborative Database. Certain pages and database fields may be created, edited, supplemented, or corrected by registered users. Vertibase may use human moderators, trusted contributors, automated systems, third-party data sources, and editorial staff to review or manage Contributions, but we do not guarantee that any Contribution will be reviewed before or after publication.

4.3 Changes to Features. We may add, modify, suspend, limit, or discontinue any part of the Service at any time. Features may vary by user, location, device, account status, contributor level, or subscription tier.

4.4 No Guaranteed Availability. We do not promise that the Service or any specific page, title, image, profile, feature, or Contribution will remain available, accurate, complete, or unchanged.

5. Accounts and Account Security

5.1 Registration. You must provide accurate, current, and complete registration information and keep it updated. We may reject or require changes to usernames that are misleading, infringing, offensive, impersonating, or confusing.

5.2 Account Limits and Authorized Accounts. Unless we approve otherwise, you may maintain one account. We may permit additional accounts where a separate account serves a distinct and legitimate purpose, such as a personal account and an authorized organizational or representative account. You may not create accounts to evade enforcement, manipulate contributor reputation, manufacture consensus, or conceal coordinated activity.

5.3 Credentials. You are responsible for safeguarding your login credentials and for activity under your account. You must promptly notify us at security@thevertibase.com if you suspect unauthorized access.

5.4 No Transfer. You may not sell, transfer, license, or assign your account, contributor reputation, verification status, badges, or privileges without our written approval.

5.5 Verified or Representative Accounts. We may offer verification or representative status for actors, creators, studios, platforms, publicists, or other authorized parties. Verification does not constitute endorsement, guarantee identity, or create an agency relationship. We may revoke or modify verification at any time.

5.6 Account Decisions. We may refuse registration, require additional information, limit features, reset credentials, or take other reasonable measures to protect users, rightsholders, the Service, or the integrity of the database.

6. Community Editing and Contributions

6.1 Contributions Defined. “Contributions” means anything you submit, upload, transmit, post, propose, edit, correct, rate, review, tag, categorize, or otherwise provide through the Service. Contributions include text, names, biographies, credits, roles, release information, episode information, production details, links, reviews, ratings, lists, edit summaries, sources, images, posters, artwork, logos, stills, video, audio, captions, metadata, and communications intended for publication or moderation.

6.2 Permission to Contribute. Subject to these Terms, registered users may propose new pages, edits, corrections, additions, and media. We may restrict particular fields, media types, or editing privileges to moderators, trusted contributors, verified representatives, or other designated users.

6.3 No Right to Publication. Submitting a Contribution does not require us to publish, retain, attribute, display, review, or respond to it. We may reject, delay, edit, merge, reformat, relocate, summarize, fact-check, annotate, de-index, archive, restore, or remove any Contribution at any time and for any reason. Contributions may be reviewed, processed, classified, compared, and otherwise handled by automated and machine-learning systems as described in Sections 7.9 and 10.4

6.4 Editorial Changes. You understand that Contributions may be edited by Vertibase or other users, combined with other material, displayed without your preferred wording or formatting, and incorporated into pages that change over time. You waive any right to approve later edits, page placement, presentation, or context, except to the extent such waiver is prohibited by law.

6.5 Sources and Accuracy. You should submit information that you reasonably believe is accurate and, when requested, identify reliable sources. You may not knowingly submit false, fabricated, misleading, outdated, or materially incomplete information, or manipulate credits, rankings, ratings, dates, names, relationships, or other data for promotional, retaliatory, competitive, or deceptive purposes.

6.6 Sensitive and Personal Information. Do not submit private contact details, government identifiers, financial information, medical information, information about minors, home addresses, or other sensitive personal information unless the Service expressly requests it and you are legally authorized to provide it. Publicly available information is not automatically appropriate for inclusion.

6.7 Reviews and Opinions. Reviews, ratings, and commentary must reflect your genuine experience or opinion. You must disclose material relationships when required by law and may not submit compensated, coordinated, automated, or manipulated reviews or ratings.

6.8 No Employment or Credit Determination. You may not use the Service or Contributions to make unlawful employment, casting, credit, housing, insurance, or other eligibility decisions.

7. License Granted to Vertibase

7.1 Ownership. As between you and Vertibase, you retain any ownership rights you have in your original Contributions. You acknowledge that facts, ideas, titles, names, short phrases, data, and other elements may not be protected by copyright or may be independently supplied by others.

7.2 License. By submitting a Contribution, you grant Vertibase and its affiliates, service providers, successors, and assigns a worldwide, nonexclusive, perpetual, irrevocable, royalty-free, fully paid, transferable, and sublicensable license to host, store, reproduce, copy, use, modify, adapt, edit, translate, reformat, excerpt, combine, create derivative works from, analyze, process, extract data and metadata from, generate embeddings and vector representations of, and use for the training, fine-tuning, evaluation, benchmarking, grounding, retrieval, and improvement of machine-learning and artificial-intelligence systems,publish, publicly display, publicly perform, communicate to the public, distribute, transmit, index, cache, archive, preserve, promote, advertise, and otherwise exploit that Contribution, in whole or in part, in any media, format, technology, or distribution method now known or later developed, for purposes connected with the Service, Vertibase’s business, or the promotion of either. The license in this Section includes the artificial-intelligence and machine-learning rights described in Section 7.9.

7.3 Operational Rights. The license includes the right to crop, resize, compress, transcode, watermark, caption, tag, categorize, extract metadata from, create thumbnails of, and distribute Contributions through hosting providers, content-delivery networks, search engines, social platforms, syndication partners, and other vendors or channels.

7.4 Name and Attribution. You grant Vertibase the right, but not the obligation, to identify you by your username, display name, contributor ID, organization, or other attribution submitted with a Contribution. We may remove, modify, or anonymize attribution for privacy, safety, moderation, account deletion, formatting, or editorial reasons.

7.5 Moral Rights. To the extent permitted by law, you waive and agree not to assert moral rights, rights of attribution, rights of integrity, or similar rights in your Contributions. Where waiver is not permitted, you consent to acts that would otherwise infringe those rights.

7.6 No Compensation. Unless a separate written agreement states otherwise, you are not entitled to payment, royalties, credits, approval rights, or other compensation for Contributions or for our exercise of the license.

7.7 Persistence After Deletion. The license survives account suspension, termination, and deletion. Removing a Contribution from public display does not terminate the license or require deletion from backups, archives, revision histories, moderation systems, legal records, cached copies, promotional materials already created, or materials shared with authorized service providers or sublicensees.

7.8 Feedback Distinguished. Ideas and suggestions about the Service are governed by Section 19 and may be used without restriction or compensation.

7.9 Artificial Intelligence and Machine Learning. The license in Section 7.2 expressly includes the right to use Contributions to develop, train, fine-tune, evaluate, benchmark, ground, validate, and improve artificial-intelligence, machine-learning, statistical, recommendation, classification, search, and analytics systems and models, whether developed by Vertibase or by service providers acting on our behalf; to generate embeddings, vector representations, indexes, aggregations, and derived datasets from Contributions; to use Contributions and derived outputs to power search, discovery, recommendation, moderation, deduplication, entity resolution, data-quality, trend-analysis, and reporting features; and to produce and distribute aggregated, de-identified, statistical, and derived outputs, including outputs made available to third parties on a commercial basis. Outputs generated from Contributions do not constitute Contributions and are owned by Vertibase. Nothing in this Section grants any right to third parties, and Section 14.4 continues to prohibit third-party use of the Service or its content for artificial-intelligence or machine-learning purposes without our prior written permission.

7.10 Contributions Submitted Before [EFFECTIVE DATE]. The rights described in Section 7.9 apply to Contributions submitted on or after July 20, 2026, and to Contributions submitted before that date by users who accept these Terms after that date. If you submitted Contributions before [EFFECTIVE DATE] and do not accept these Terms, those Contributions remain governed by the license terms in effect when they were submitted, and Section 7.9 does not apply to them. All other provisions of these Terms apply to your continued use of the Service.

8. Contributor Representations and Warranties

8.1 Rights and Authority. For each Contribution, you represent and warrant that you own the Contribution or have all rights, licenses, permissions, consents, releases, and authority necessary to submit it and grant the rights in these Terms.

8.2 Non-Infringement. You represent and warrant that the Contribution and our permitted use of it will not infringe, misappropriate, or violate any copyright, trademark, trade dress, patent, database right, publicity right, privacy right, moral right, contract right, confidentiality obligation, guild rule, collective-bargaining obligation, or other right of any person or entity.

8.3 Accuracy and Lawfulness. You represent and warrant that factual statements you submit are accurate to the best of your knowledge; opinions are honestly held; disclosures required by law have been made; and the Contribution is not unlawful, defamatory, fraudulent, deceptive, obscene, threatening, harassing, or otherwise tortious.

8.4 Releases. For images, audio, video, interviews, testimonials, likenesses, or personal stories, you represent and warrant that you have obtained all releases and permissions required from photographers, artists, subjects, performers, unions, employers, locations, licensors, and other rightsholders.

8.5 No Conflicting Obligations. You represent and warrant that submitting the Contribution does not breach an embargo, nondisclosure agreement, employment agreement, platform agreement, production agreement, publicity agreement, or other obligation.

8.6 Continuing Duty. If you learn that a Contribution may violate these warranties or that your rights have changed, you must promptly notify us at legal@thevertibase.com. Notice does not limit your responsibility for the Contribution.

9. Images, Posters, Artwork, and Other Media

9.1 Higher-Risk Media. Posters, key art, production stills, headshots, behind-the-scenes images, screenshots, logos, promotional graphics, and other visual media are often owned or controlled by studios, platforms, photographers, agencies, distributors, designers, actors, or other third parties. Availability online, inclusion in a press kit, or appearance on another database does not by itself authorize upload to Vertibase.

9.2 Upload Standard. You may upload media only if you own it or have express authority sufficient to grant the license in Section 7. You may not upload media copied from another website, social account, streaming service, publication, agency database, or press source unless the applicable terms or rightsholder clearly permit that use.

9.3 Promotional Materials. If you submit official promotional material on behalf of a studio, platform, production company, distributor, actor, photographer, agency, or other rightsholder, you represent that you are authorized to act for that party and to permit Vertibase’s display, modification, distribution, and promotional use of the material.

9.4 Likeness and Publicity. You may not upload or identify a person in media in a manner that violates privacy or publicity rights, falsely implies endorsement, exposes sensitive personal information, or depicts a minor without required authorization.

9.5 Editorial Treatment. We may crop, resize, compress, convert, caption, tag, replace, reorder, or remove media. We may select a different primary image or poster, display multiple versions, or decline to display submitted media.

9.6 No Rights Clearance by Vertibase. Our acceptance, moderation, or display of media does not mean that we have verified ownership, obtained releases, or approved the media for uses outside the Service. Users and downstream users remain responsible for their own rights clearance.

9.7 Removal Requests. Rightsholders and depicted persons may submit requests under Section 17. We may remove or restrict media while evaluating a request, without admitting infringement or liability.

9.8 Repeat or Egregious Violations. We may suspend upload privileges or terminate accounts that repeatedly submit unauthorized media or submit media in bad faith.

10. Editorial Control, Moderation, and Enforcement

10.1 Editorial Discretion. Vertibase retains exclusive control over the design, organization, taxonomy, style, scope, ranking, prominence, indexing, and presentation of the Service and database. No user has a right to control a page, maintain preferred wording, select a primary image, prevent lawful edits, or require inclusion or removal of information.

10.2 Moderation Rights. We may monitor, review, investigate, fact-check, edit, label, limit, reject, remove, preserve, or disclose Contributions and account information when we reasonably believe doing so is necessary to operate the Service, enforce these Terms, address complaints, protect rights or safety, prevent fraud or abuse, or comply with law.

10.3 No Duty to Monitor. We are not obligated to monitor all Contributions, verify identities, resolve every dispute, or review every page. Failure to enforce a provision in one instance does not waive our right to enforce it later.

10.4 Automated Systems. We may use automated tools, machine learning, similarity detection, content classification, spam detection, or other systems to prioritize, screen, moderate, or process Contributions. Automated systems may make mistakes, and we may not offer an appeal for every automated decision.

10.5 Contributor Privileges. We may create contributor levels, reputation scores, badges, permissions, edit limits, verification indicators, moderation roles, or trusted-user programs. These are discretionary platform features, not property or vested rights, and may be changed, withheld, or revoked.

10.6 Appeals. We may provide processes to appeal moderation or account decisions. Unless required by law, we are not obligated to provide an appeal, explanation, evidence, or specific outcome.

11. Public Pages, Attribution, and Revision History

11.1 Public Nature. Contributions intended for public pages may be visible worldwide and may be indexed by search engines, quoted, shared, cached, archived, or copied by others. Do not submit anything you expect to remain private.

11.2 Attribution. We may associate Contributions with a username, display name, contributor profile, timestamp, edit summary, source note, verification status, or contributor level. We may change how attribution is displayed over time.

11.3 Revision History. We may retain and display current and historical versions of pages, field-level changes, edit summaries, moderation actions, reversions, source citations, and contributor identifiers. Revision history supports transparency, restoration, abuse prevention, dispute resolution, and database integrity.

11.4 Deleted Accounts. If an account is deleted, we may replace public attribution with a generic label, anonymized identifier, or deleted-user designation while retaining the Contribution and revision history. We may retain an internal link between the former account and its activity when reasonably necessary for security, legal compliance, rights management, or abuse prevention.

11.5 Reverted and Rejected Contributions. We may retain rejected, removed, superseded, or reverted Contributions in nonpublic moderation systems, security records, or revision archives. Removal from the current page does not require erasure from those systems.

11.6 Publicity and Search Engines. We cannot guarantee removal from third-party search results, archives, caches, screenshots, downstream copies, or services not controlled by Vertibase.

12. Accuracy, Reliance, and No Endorsement

12.1 Accuracy Disclaimer. The Service contains information from users, public sources, licensors, automated systems, and editorial staff. Information may be inaccurate, incomplete, disputed, outdated, duplicated, mistranslated, or attributed to the wrong person or production. Moderation, verification, badges, citations, or representative status do not guarantee accuracy.

12.2 Independent Verification. You are responsible for independently verifying information before relying on it for professional, commercial, employment, casting, publicity, credit, legal, or personal decisions.

12.3 No Endorsement or Affiliation. The inclusion, ranking, rating, review, profile, credit, image, trademark, or link relating to a person, title, platform, studio, product, or service does not imply endorsement, approval, sponsorship, partnership, agency, or affiliation by Vertibase or by the listed person or entity.

12.4 Opinions. Reviews, ratings, lists, rankings, comments, and other opinions belong to their authors and do not necessarily reflect Vertibase’s views.

12.5 Credits and Professional Status. A listing or credit does not establish employment, union status, authorship, ownership, eligibility, professional standing, or entitlement to compensation.

13. Acceptable Use

13.1 General Rule. You may use the Service only for lawful purposes and in accordance with these Terms, applicable policies, and reasonable instructions we provide.

13.2 Prohibited Content. You may not submit content that is illegal; defamatory; fraudulent; knowingly false; threatening; harassing; hateful; sexually exploitative; invasive of privacy; infringing; subject to a confidentiality obligation you owe to another person; malicious; or designed to expose, shame, intimidate, or endanger another person.

13.3 Prohibited Conduct. You may not:

  • impersonate another person or entity, falsely claim authorization, or misrepresent the origin of a Contribution;
  • create coordinated, duplicate, or deceptive accounts; evade enforcement; or manipulate consensus, ratings, rankings, views, follows, edit histories, or contributor reputation;
  • submit spam, chain messages, mass solicitations, undisclosed advertising, affiliate links, political campaigning, malware, viruses, or harmful code;
  • harvest personal information, contact users without authorization, stalk or monitor individuals, or use the Service to build unauthorized dossiers;
  • interfere with the Service, probe or bypass security, access nonpublic systems, reverse engineer software, overload infrastructure, or exploit vulnerabilities;
  • use the Service to violate sanctions, export laws, consumer-protection laws, privacy laws, labor laws, intellectual-property laws, or contractual obligations;
  • copy or republish substantial portions of the database, create a substitute or competing database, or use Contributions or data outside the permissions expressly granted;
  • encourage, assist, or enable another person to do any of the foregoing.

We may interpret and enforce this section in light of the purpose of the Service, community safety, editorial integrity, and reasonable platform norms.

14. Automated Access, APIs, Scraping, and AI Training

14.1 No Unauthorized Automation. Except for ordinary browser use and search-engine crawling expressly authorized by us, you may not access the Service through bots, scripts, crawlers, scrapers, spiders, automated browsers, headless browsers, data-mining tools, extraction tools, or similar automated means without our prior written permission.

14.2 Prohibited Extraction. You may not systematically download, copy, collect, index, monitor, harvest, aggregate, export, cache, mirror, or extract pages, images, profiles, credits, metadata, reviews, ratings, contributor information, or other Service content, whether manually at scale or through automation.

14.3 No Substitute Databases. You may not use Service content to create, improve, validate, enrich, synchronize, benchmark, or operate a competing, substitute, derivative, or substantially similar database, directory, search product, recommendation product, data broker service, or commercial dataset.

14.4 Artificial Intelligence and Machine Learning. Without our prior written permission, you may not use or permit the use of the Service, any Service content, Contributions, page structure, metadata, or database exports to train, fine-tune, pretrain, distill, evaluate, benchmark, test, validate, or improve any artificial-intelligence, machine-learning, foundation, language, multimodal, recommendation, or generative model or system; to create embeddings, vector databases, or persistent derived indexes; to build datasets or corpora; or to generate synthetic data based on Service content. This restriction applies to third parties only and does not limit Vertibase's own rights under Section 7.9.

14.5 Approved Search, Answer, and Discovery Services. Notwithstanding Section 14.4, we may permit operators of search engines, answer engines, AI assistants, and similar discovery services to crawl, index, retrieve from, and ground responses in Service content for the purpose of surfacing Vertibase information to end users, provided that such use displays clear attribution to The Vertibase, links to the corresponding page on the Service, does not reproduce Service content at a scale or in a manner that substitutes for visiting the Service, and does not involve retention, training, or dataset creation prohibited by Section 14.4. Permission under this Section is subject to robots.txt, technical controls, written conditions, rate limits, and our published crawler and AI-access policies, and is revocable at any time. Failure of a technical control to block access does not constitute consent.

14.6 APIs and Data Licenses. Access through an API, feed, export, or data-license program is governed by separate terms. API credentials may not be shared, sublicensed, resold, or used beyond approved purposes.

14.7 Technical and Legal Enforcement. We may use rate limits, access controls, bot detection, blocking, watermarking, monitoring, and other measures to prevent unauthorized use. We may revoke permission at any time and pursue contractual, statutory, equitable, or technical remedies.

14.8 Reservation of Rights. No use of the Service creates an implied license, estoppel, or waiver concerning database rights, copyrights, contract rights, technological measures, or other rights.

15. Vertibase Intellectual Property and Database Rights

15.1 Vertibase Materials. The Service, including its software, source code, interfaces, designs, layouts, graphics, logos, trademarks, trade dress, editorial material, taxonomies, categories, ranking methods, moderation systems, documentation, and non-user content, is owned by or licensed to Vertibase and is protected by intellectual-property and unfair-competition laws.

15.2 Database and Compilation. Vertibase owns or controls protectable rights in the selection, coordination, arrangement, structure, organization, presentation, verification, normalization, relationships, and compilation of the database and its contents, even where individual facts or data points are not independently protected.

15.3 Limited User License. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to access and use the Service for your personal, editorial, research, or ordinary professional purposes, including casting, development, journalism, and industry research. This license does not permit systematic extraction, bulk copying, republication, redistribution, resale, sublicensing, or the creation of a competing or substitute service or database, each of which is governed by Sections 14 and 15.4.

15.4 Restrictions. You may not reproduce, distribute, publicly display, sell, license, modify, create derivative works from, frame, mirror, or commercially exploit Vertibase Materials except as expressly authorized by these Terms or a separate written agreement.

15.5 Trademarks. The Vertibase name, logos, product names, and related marks are trademarks or trade dress of Vertibase. You may not use them in a manner likely to cause confusion or imply endorsement without written permission.

15.6 Third-Party Rights. Names, titles, artwork, logos, and trademarks belonging to actors, creators, studios, platforms, and other third parties remain the property of their respective owners. Their appearance does not grant you rights in them.

16. Third-Party Materials, Links, and Advertising

16.1 Third-Party Content. The Service may display, link to, embed, or reference third-party websites, streaming platforms, social media, advertisements, products, services, or content. We do not control or endorse them and are not responsible for their availability, accuracy, security, practices, or terms.

16.2 Advertising and Sponsored Content. Advertising, sponsorships, affiliate links, promoted pages, or paid placements may appear near editorial or user content. We may label paid relationships as required by law, but adjacency does not imply endorsement by the person, title, or company shown on a page.

16.3 Third-Party Terms. Your use of third-party services is governed by their own terms and privacy practices. You are responsible for evaluating those terms.

16.4 Transactions. Vertibase is not responsible for transactions, subscriptions, purchases, employment opportunities, casting notices, or other dealings between you and third parties unless we expressly state otherwise in separate terms.

17. Copyright, Publicity, Privacy, and Impersonation Complaints

17.1 Respect for Rights. We respect intellectual-property, privacy, and publicity rights and may remove or restrict material that we believe violates these Terms, applicable law, or our policies.

17.2 Copyright Notices. A copyright owner or authorized agent may submit a notice identifying the copyrighted work, the allegedly infringing material and its location, contact information, a good-faith statement, an accuracy-and-authority statement under penalty of perjury, and a physical or electronic signature. Complete notice instructions and our designated agent will appear in the DMCA and Rights-Complaint Policy.

17.3 Counter-Notices. Where applicable, a user whose material was removed may submit a valid counter-notice. Where the Digital Millennium Copyright Act applies, we may restore the material not less than 10 and not more than 14 business days after we receive a valid counter-notice, unless the complaining party first informs us that it has filed a court action seeking to restrain the allegedly infringing activity.

17.4 Repeat Infringers. In appropriate circumstances, we may terminate accounts of repeat infringers and may restrict media-upload or editing privileges for users who repeatedly submit unauthorized material.

17.5 Publicity and Image Requests. A person depicted in an image, or an authorized representative, may request review or removal based on privacy, publicity, safety, misidentification, lack of authorization, or misleading context. We may request identity and authority documentation and may balance the request against newsworthiness, public interest, contractual rights, and applicable law.

17.6 Impersonation and Identity. A person or organization may report an account, page, image, or statement that falsely claims identity or authorization. Verification, correction, labeling, restriction, or removal is at our discretion except where law requires otherwise.

17.7 Privacy and Sensitive Information. We may review requests involving home addresses, personal contact information, minors, intimate imagery, doxxing, safety threats, government identifiers, or other sensitive information. We may act without determining whether the material is unlawful.

17.8 No Legal Adjudication. Our decision to retain, modify, restrict, or remove material is a platform and editorial decision, not a legal ruling or admission of liability. We may forward complaints and supporting materials to the affected user or relevant authorities where appropriate and lawful.

17.9 Abuse of Process. You may not knowingly submit false, misleading, fraudulent, or bad-faith notices or counter-notices. You may be liable for resulting damages under applicable law.

18. Account Suspension, Termination, and Deletion

18.1 Suspension or Termination by Vertibase. We may warn, restrict, suspend, disable, or terminate an account or specific privileges, with or without notice, if we reasonably believe you violated these Terms, created risk or legal exposure, abused the Service, infringed rights, compromised security, or acted inconsistently with the purpose or integrity of the Service.

18.2 Effect of Termination. Upon termination, your right to use the account and applicable features ends immediately. Sections that by their nature should survive, including licenses, intellectual-property provisions, disclaimers, limitations, indemnification, dispute provisions, and retention rights, will survive.

18.3 Account Deletion by User. You may request account deletion through available settings or by contacting privacy@thevertibase.com. We may require identity verification and may delay or deny deletion to the extent permitted by law when needed to complete a transaction, address security incidents, preserve evidence, comply with legal obligations, exercise or defend legal claims, or protect users and the Service.

18.4 Information Generally Deleted or De-Identified. Subject to the Privacy Policy and legal exceptions, we will delete or de-identify personal account information that is no longer reasonably necessary, such as login credentials, direct contact information, private profile settings, and marketing preferences.

18.5 Information and Content We May Retain. We may retain:

  • published Contributions and information incorporated into public database pages;
  • public and nonpublic revision histories, edit summaries, source records, moderator actions, and records of reverted or rejected edits;
  • an anonymized, pseudonymized, hashed, or otherwise limited identifier linking prior activity to prevent abuse, enforce restrictions, address repeat infringement, maintain page integrity, or comply with law;
  • rights-complaint records, takedown notices, counter-notices, consent records, licenses, releases, contracts, and legal correspondence;
  • security logs, fraud-prevention records, audit trails, and evidence of violations;
  • backups and disaster-recovery copies until overwritten under ordinary retention cycles;
  • information subject to a legal hold or reasonably needed to establish, exercise, or defend legal claims;
  • aggregated or de-identified information that cannot reasonably be linked to you.

Account deletion does not require us to remove accurate information about a public person, actor, creator, company, or production merely because the deleted user submitted it. Requests concerning the subject of a page are handled under the applicable correction, privacy, publicity, or rights-complaint process.

19. Feedback

19.1 Feedback Defined. “Feedback” means ideas, proposals, suggestions, concepts, feature requests, designs, workflows, or other input about the Service that you voluntarily provide outside a Contribution intended for publication.

19.2 Use of Feedback. You grant us a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable right to use, disclose, reproduce, modify, commercialize, and otherwise exploit Feedback without restriction, attribution, approval, or compensation.

19.3 No Confidentiality. Unless we sign a separate written confidentiality agreement, Feedback is not confidential and does not create a fiduciary, employment, partnership, or agency relationship.

20. Indemnification

20.1 Your Obligation. To the fullest extent permitted by law, you will indemnify and hold harmless Vertibase, its affiliates, and their respective owners, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns (the “Vertibase Parties”) from and against any claims, demands, actions, investigations, losses, liabilities, judgments, settlements, damages, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • your access to or use of the Service;
  • your Contributions, including images, posters, artwork, biographies, credits, reviews, ratings, links, and metadata;
  • your breach or alleged breach of these Terms, a policy, representation, warranty, or applicable law;
  • any allegation that a Contribution or our permitted use of it infringes or violates copyright, trademark, publicity, privacy, contract, moral, database, confidentiality, or other rights;
  • your fraud, negligence, willful misconduct, impersonation, deceptive activity, or dispute with another user or third party;
  • activity under your account, except to the extent caused by Vertibase’s breach of its own legal obligations.

We may participate in the defense and settlement of any indemnified matter using counsel of our choice. You will cooperate and may not settle a claim in a manner that admits fault by, imposes obligations on, or restricts a Vertibase Party without our written consent. We will give you prompt written notice of any claim for which we seek indemnification and will not settle any such claim in a manner that imposes liability on you or admits fault on your part without your consent, which will not be unreasonably withheld. You may participate in the defense at your own expense. This Section does not apply to any claim to the extent it arises from Vertibase’s own negligence, willful misconduct, or breach of these Terms. If you use the Service on behalf of an organization, or if you hold a verified or representative account, additional indemnification obligations, including a duty to defend, may apply under a separate written agreement.

21. Disclaimers

21.1 As-Is Service. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT, DATA, CONTRIBUTIONS, FEATURES, TOOLS, AND MATERIALS AVAILABLE THROUGH IT ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.” YOUR USE IS AT YOUR SOLE RISK.

21.2 No Warranties. THE VERTIBASE PARTIES DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, AND COURSE OF DEALING OR USAGE OF TRADE.

21.3 No Operational Warranty. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, VIRUS-FREE, OR COMPATIBLE WITH EVERY DEVICE; THAT DEFECTS WILL BE CORRECTED; THAT CONTRIBUTIONS WILL BE REVIEWED; OR THAT INFORMATION WILL BE ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR ANY PURPOSE.

21.4 Third Parties and Users. WE ARE NOT RESPONSIBLE FOR THE CONDUCT, CONTENT, REPRESENTATIONS, PRODUCTS, SERVICES, OR OMISSIONS OF USERS, CONTRIBUTORS, ADVERTISERS, RIGHTSHOLDERS, OR OTHER THIRD PARTIES.

21.5 Jurisdictional Exceptions. Some jurisdictions do not allow certain warranty disclaimers. In those jurisdictions, disclaimers apply only to the maximum extent permitted by law.

22. Limitation of Liability

22.1 Excluded Damages. TO THE FULLEST EXTENT PERMITTED BY LAW, THE VERTIBASE PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, REPUTATION, OR OPPORTUNITY; COST OF SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM RELIANCE ON SERVICE INFORMATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

22.2 Liability Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE VERTIBASE PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO VERTIBASE FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US $100.

22.3 Essential Basis. The disclaimers and limitations in these Terms are fundamental elements of the agreement and apply regardless of the legal theory, form of action, or failure of an essential remedy.

22.4 Non-Excludable Liability. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, which may include liability for fraud, willful misconduct, or personal injury caused by negligence in certain jurisdictions.

22.5 Allocation Among Parties. To the extent a claim involves a third-party Contribution or service, our liability will not be expanded because another person is unavailable, immune, or unable to pay.

23. Dispute Resolution and Governing Law

23.1 Informal Resolution. Before filing a formal claim, you and Vertibase agree to attempt in good faith to resolve the dispute by sending a written notice describing the issue and requested relief. Notices to Vertibase must be sent to legal@thevertibase.com and to Vertical Romance, ATTN: The Vertibase, 40 E. Verdugo Ave. #128, Burbank, CA 91502. The parties will allow at least 30 days for informal resolution, unless emergency relief is required.

23.2 Governing Law. These Terms and disputes arising out of or relating to them or the Service are governed by the laws of the State of California, without regard to conflict-of-laws principles, except to the extent federal law or mandatory local law applies.

23.3 Forum. Unless the parties agree otherwise or applicable law requires a different forum, any court proceeding must be brought exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to personal jurisdiction and venue there.

23.4 Intellectual-Property and Safety Relief. Either party may seek temporary, preliminary, or permanent injunctive or equitable relief to prevent actual or threatened infringement, misuse of intellectual property, unauthorized scraping, security violations, or imminent harm.

24. Changes to the Service and Terms

24.1 Updates. We may revise these Terms to reflect new features, legal requirements, security needs, business changes, or other reasons. We will post the updated Terms and update the effective date.

24.2 Material Changes. For material changes, we may provide additional notice by email, account message, banner, or required acceptance. The notice method and advance period will depend on the nature of the change and applicable law.

24.3 Continued Use. If you continue using the Service after updated Terms become effective, you agree to the updated Terms to the extent permitted by law. If you do not agree, you must stop using the Service and may request account deletion.

24.4 Changes to the Service. We may modify, suspend, or discontinue the Service or any feature without liability, subject to applicable law and any separate paid-service agreement.

25. General Terms

25.1 Entire Agreement. These Terms and incorporated policies are the entire agreement between you and Vertibase regarding the Service, except for any separate written agreement that expressly controls.

25.2 Order of Precedence. If these Terms conflict with a signed agreement between you and Vertibase, the signed agreement controls to the extent of the conflict. Feature-specific terms control for that feature.

25.3 Assignment. You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, or by operation of law.

25.4 No Waiver. A failure or delay in enforcing a provision is not a waiver. A waiver must be in writing and signed by the waiving party.

25.5 Severability. If a provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective.

25.6 No Agency. These Terms do not create a partnership, joint venture, employment, fiduciary, franchise, or agency relationship.

25.7 Force Majeure. Vertibase is not liable for delay or failure caused by events beyond its reasonable control, including internet failures, hosting outages, cyberattacks, labor disputes, natural disasters, war, terrorism, civil unrest, epidemics, governmental action, or utility failures.

25.8 Notices. We may send notices to the email address associated with your account or through the Service. Legal notices to Vertibase must be sent to the address in Section 26 unless a policy specifies another method.

25.9 Headings. Headings are for convenience only and do not affect interpretation.

25.10 Language. The English-language version controls to the extent permitted by law if these Terms are translated.
